Terms of Use

This software (the "Software") is owned and operated by USA Prime Sports, LLC (the "Company"). By accessing or using the Software, you (the "User") agree to be bound by these terms of use (the "Terms"). If you do not agree to these Terms, do not access or use the Software.

  1. License. The Company grants the User a limited, non-exclusive, non-transferable license to access and use the Software for personal or business purposes, subject to these Terms.
  2. Proprietary Rights. The Software and all intellectual property rights in and to the Software, including but not limited to copyrights, trademarks, and trade secrets, are owned by the Company and are protected by applicable intellectual property laws. The User agrees not to copy, modify, or distribute the Software or any part thereof without the prior written consent of the Company.
  3. Restrictions. The User agrees not to reverse engineer, decompile, or disassemble the Software or create any derivative works based on the Software. The User also agrees not to use the Software for any illegal or unauthorized purposes.
  4. Disclaimer of Warranties. The Software is provided on an "as is" and "as available" basis, and the Company makes no representations or warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Software will be error-free or free from interruptions or downtime.
  5. Limitation of Liability. In no event shall the Company be liable for any damages of any kind, including but not limited to direct, indirect, incidental, consequential, or punitive damages, arising out of the use or inability to use the Software.
  6. Termination. The Company reserves the right to terminate the User's access to the Software at any time and for any reason, without notice. Upon termination, the User's license to use the Software will automatically terminate.
  7. Governing Law. These Terms and the User's access to and use of the Software shall be governed by and construed in accordance with the laws of the State of [State], without giving effect to any principles of conflicts of law.
  8. Dispute Resolution. Any disputes arising out of or related to these Terms or the Software shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
  9. Changes to These Terms. The Company reserves the right to update or modify these Terms at any time and without prior notice. The User agrees to review these Terms periodically and to be bound by any such updates or modifications.
  10. Entire Agreement. These Terms constitute the entire agreement between the User and the Company with respect to the Software, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
